Terms of Service

1. Service

Capinext provides a SaaS platform for M&A professionals: deliverable generation (teasers, memorandums, valuation reports), buyer matching, social-network publishing, and mandate workflow management.

2. Eligibility

Capinext is reserved for licensed professionals: chartered accountants, lawyers, M&A advisors, business intermediaries, and their authorized delegates. Users must be 18+ and authorized to enter binding agreements.

3. User responsibilities

You are responsible for the accuracy of mandate data uploaded, for obtaining all necessary consents from your clients (including the SME sellers whose data is processed), and for compliance with applicable M&A regulations in your jurisdiction.

4. Social-network publishing

When using LinkedIn, Facebook, or other social integrations through Capinext, you agree to comply with the respective platform’s Terms of Service. Capinext acts only on your explicit instructions and on accounts/pages you have authorized via OAuth or equivalent. You retain full ownership of published content.

5. Confidentiality

Capinext implements technical safeguards (encrypted data at rest, role-based access, NDA workflows) to protect mandate confidentiality. Users are responsible for managing access within their firm and for NDA execution before disclosing teasers to identified buyers.

6. Intellectual property

Capinext retains ownership of the platform, AI models, and methodology. Users retain ownership of mandate documents and deliverables generated through the platform.

7. Liability

Capinext provides tools and AI-generated drafts. Final professional responsibility for advice, valuations, and deliverables remains with the licensed professional. Capinext’s liability is limited to direct damages up to 12 months of subscription fees paid.

8. Termination

Either party may terminate with 30 days’ notice. Upon termination, you may export all your data; we delete data per the retention schedule in the Privacy Policy.

9. Governing law

These Terms are governed by Swiss law. Exclusive jurisdiction: courts of Vevey, Switzerland.
