M&A document preparation: what the Skello investment actually establishes

On 6 July 2026, Bridgepoint announced a €200 million investment in Skello, the French HR software company. The announcement identifies Bridgepoint Development Capital V as the investment vehicle and Bridgepoint as the lead minority shareholder. It also states that the founders, management and existing investors Partech and XAnge are reinvesting.

This is an investment led by Bridgepoint. The previous version of this article incorrectly attributed the investment to Bain Capital. Investment firms and transaction advisers have different roles; a headline mentioning an adviser does not establish that adviser as the investor.

The public announcement describes European expansion, investment in AI and a broader product offering. It does not provide the transaction’s debt structure, detailed financial model, due diligence findings or contractual protections. The checklist below is general preparation guidance, not a reconstruction of Skello’s confidential deal documents.

Build a document register before approaching investors

Start with a register that identifies each document, its owner, the period covered, its status and any unresolved question. Separate financial evidence, legal records, operating information and transaction documents. Mark received, reviewed and missing items separately so that a document’s presence is not mistaken for verification.

  • Finance: accounts, management reporting, debt schedules, cash-flow forecasts and reconciliations supporting proposed adjustments.
  • Corporate and contracts: ownership records, signing powers, material agreements, change-of-control provisions and litigation records.
  • People and operations: key-person dependencies, employment documentation, customer concentration and operational continuity.
  • Technology: intellectual property records, software licences, information-security evidence and documented data-processing responsibilities.

Keep assumptions separate from verified evidence

For each material assertion in a presentation or financial model, record the supporting source and the person responsible for confirming it. A forecast is an assumption supported by a method; it is not a historical fact. Proposed debt capacity, synergies and integration plans require their own analysis rather than borrowing credibility from another company’s investment announcement.

A practical question log connects an investor’s request to the relevant documents, the proposed answer and the adviser who reviewed it. This makes unresolved issues visible before negotiations turn them into price or timetable disputes.

Use AI with a traceable review process

When AI assists document preparation, record which documents it used and verify its extracted figures and conclusions against those documents. A generated summary must not invent a legal requirement, an investor identity or a performance statistic. No quantified time saving is claimed here: it would require a defined task, a baseline and measured results.
